Real Estate Acquisitions, Sales and Leasing

  • Represent a large Northbrook pharmaceutical company to implement national on-site pharmacy and clinic programs, including the leasing of on-site locations and build-out of each site
  • Part of a team assisting a large Northbrook pharmaceutical company with special prescription benefit management (PBM) agreement contract review project in conjunction with merger of the company with a national retail pharmacy
  • Represent a large international Oak Brook-based restaurant chain in negotiating and documenting leases, sales and acquisitions (including sale/leasebacks) and related development documents for new franchise sites in the Western half of United States
  • Represent a large national financial institution in implementing its local branch office expansion in Chicago, including negotiating and drafting long-term ground leases, negotiating and drafting purchase agreements of real estate and assisting client with land development issues (including coordinating engineering, architecture and other disciplines involved in the construction of the projects) and representing the client in the zoning and annexation process
  • Represent REIT as outside counsel for negotiating, drafting and completing office leases for several office buildings in Chicagoland area and comprehensive lease analysis in conjunction with the sale of a large office building in Chicago
  • Represent local motor vehicle franchise dealerships in the sale and acquisition of real estate, including addressing and resolving environmental challenges and working with environmental consultants to obtaining NFRs

Real Estate Developers

  • Represent residential developer of a 220 unit townhome and single family community development in Elgin, Illinois; representation included and includes advising on the acquisition of the parcel, site development planning and platting, financing of mezzanine loans and sales of individual units
  • Represent local condominium developers in the acquisition and development of small-scale condominium and conversion projects (i.e under 20 units)
  • Represented a local commercial and industrial developer to implement strategic land acquisitions for industrial, office and warehouse uses, including the creation of a REIT, advising on acquisitions, and negotiations of leases with large national tenants
  • Represented a residential developer in 190 unit townhome and single family community development in Tinley Park, Illinois; representation included advising on the acquisition of the parcel, site development planning and platting, financing of mezzanine loans, and sales of individual units

Financial Institutions

Represent local and national financial institutions in documenting and negotiating financing and secured transactions for asset and real estate based loans, work-outs and forbearance agreements, inter-creditor agreements and mezzanine loans, including, most recently:

  • multi-million dollar loan for the acquisition of 23 gas stations in Illinois;
  • multi-million dollar loan for the re-financing of hydro-electric power sites in Michigan; and
  • multi-million dollar loan for the re-financing of general business assets and real estate located in Michigan and Ohio

Private Companies, Business Owners, and High Net Worth Individuals

  • Represented numerous corporations, partnerships, limited partnerships and limited liability companies in various industries in financing, developing succession planning, mergers and acquisitions as well as contract review (including vendor contracts)
  • Represent clients in formation and maintenance of business entities

  • Counseled individuals in achieving goals related to the protection, management and distribution of their assets, drafting estate planning documents and estate administration
